Acceptance
By using this platform you agree to these terms. If you do not agree, do not use the service. These terms govern your use of the TRMN website and portal.
Who may use
You must be 18 or over and have authority to act for yourself or your organisation. Registered managers, providers, consultants and authorised staff must complete verification before transacting.
Accounts
You are responsible for keeping login details secure and for all activity under your account. Notify us immediately of any unauthorised use. We may suspend accounts pending verification or where breach is suspected.
Marketplace
The platform facilitates introductions between providers, managers and consultants. Contracts for services are formed between those parties; we are not a party to those contracts unless explicitly agreed in writing. Fees are set out in your engagement letter.
Conduct
You agree to: provide accurate information; not impersonate others; not circumvent the platform to avoid fees; not post unlawful, harmful or misleading content; not attempt to disrupt or reverse-engineer the service.
Fees and payment
Provider fees, placement fees and consultancy fees are set out per engagement. Invoices are due within 14 days unless otherwise stated. Late payment may attract interest at 8% over the Bank of England base rate plus compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
Intellectual property
All content, branding, tools, reports and software remain our property or that of our licensors. You may not copy, redistribute or create derivative works without written permission.
Liability
To the fullest extent permitted by law, we are not liable for indirect or consequential losses. Our total liability for any claim is limited to the fees paid to us in the 12 months preceding the claim. Nothing limits liability for death, personal injury or fraud.
Termination
Either party may terminate an account with notice. We may suspend or terminate immediately for breach, illegality or to protect other users. Surviving clauses include IP, liability, fees owed and dispute provisions.
Governing law
These terms are governed by English law. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except where consumer law gives you a right to use your local courts.
